NeoSwarm is an automated grid trading tool operated by NeoSwarm LLC. The service executes buy and sell orders on cryptocurrency and stock exchanges based on parameters you configure. The service incorporates machine learning models, technical indicators, and market intelligence to assist with trading decisions. These automated systems operate based on algorithms and historical patterns that may not reflect future market conditions. NeoSwarm is a trading tool, not a financial advisor. We do not provide investment advice or recommendations.
Trading in equities, options, cryptocurrency, and other financial instruments involves substantial risk of loss, up to and including the total loss of all invested capital. Automated and algorithmic trading systems, including grid trading, carry additional risks including but not limited to: software bugs, network failures, exchange outages, API rate limits, slippage, liquidity gaps, and market volatility that may result in executions at prices significantly different from expected levels. Past performance of any trading strategy, algorithm, or machine learning model does not guarantee or indicate future results. You should only trade with capital you can afford to lose entirely. By using NeoSwarm, you acknowledge and accept these risks.
You are responsible for maintaining the security of your account credentials and exchange API keys. You must not share your account with others or use the service for any unlawful purpose. You are responsible for all trading activity that occurs under your account.
Paid plans are billed monthly through Stripe. You may cancel your subscription at any time through the billing portal. Upon cancellation, your active grids will be closed and open positions will be liquidated at market price. Refunds are not provided for partial billing periods.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. NEOSWARM LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NEOSWARM LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, NOR DOES IT MAKE ANY WARRANTY AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY TRADING SIGNALS, SCORES, MACHINE LEARNING PREDICTIONS, OR AI-GENERATED ANALYSIS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM NEOSWARM LLC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEOSWARM LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, MISSED TRADING OPPORTUNITIES, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT NEOSWARM LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEOSWARM LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO NEOSWARM LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless NeoSwarm LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) any trading decisions you make, whether or not influenced by signals, scores, or analysis provided by the Service; (c) your violation of these Terms or any applicable law or regulation; (d) your negligence or willful misconduct; or (e) any third-party claim related to your trading activity. This indemnification obligation shall survive the termination of these Terms and your use of the Service.
We strive for high uptime but do not guarantee uninterrupted service. Maintenance windows, exchange outages, and unforeseen technical issues may temporarily affect trading. We reserve the right to modify, suspend, or discontinue the service with reasonable notice.
We reserve the right to terminate accounts that violate these terms, engage in market manipulation, or abuse the service. You may close your account at any time by contacting [email protected].
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Washington State. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against NeoSwarm LLC.
NeoSwarm uses machine learning models trained on historical market data, including gradient-boosted decision trees and LSTM neural networks. Past model performance does not predict future results. ML models may produce inaccurate signals, and the system may enter or exit positions at unfavorable prices. Backtested results are hypothetical and subject to overfitting, survivorship bias, and look-ahead bias. AI-generated insights — including chat responses, asset scoring, regime detection, and sentiment analysis — are informational only and do not constitute trading advice.
NeoSwarm offers paper trading using simulated funds with real market data. Paper trading results do not reflect real-world execution conditions — simulated fills do not account for slippage, partial fills, liquidity constraints, or exchange-specific behavior. Paper trading performance is not indicative of live trading results. Transitioning from paper to live trading involves real financial risk.
